Terms of Service

1. Acceptance of Terms

By accessing or using the Volgrei application and website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Volgrei, operated under Italian law.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are solely responsible for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Payments

Volgrei offers a freemium model with optional paid subscription tiers (Pro and Business). Subscriptions are billed on a recurring basis through the Apple App Store. All payments are processed by Apple and are subject to Apple's terms and conditions. Prices are displayed inclusive of applicable taxes where required by law. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. We do not offer refunds except as required by applicable law or Apple's refund policies.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation;
• Infringe upon the intellectual property rights of any third party;
• Transmit malicious code, viruses, or any software intended to damage or interfere with systems;
• Attempt to gain unauthorized access to any part of the Service or its infrastructure;
• Engage in data scraping, automated access, or reverse engineering of the Service;
• Use the AI features to generate content that is unlawful, harmful, defamatory, or violates third-party rights.

Violation of this section may result in immediate suspension or termination of your account without notice.

6. Intellectual Property

The Service, including its design, software, trademarks, logos, and content (excluding user-generated content), is owned by Volgrei and protected by applicable intellectual property laws. The Volgrei and Grei trademarks are registered at the European Union Intellectual Property Office (EUIPO). You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

7. User-Generated Content

You retain ownership of the content you create within the Service (tasks, notes, and other data). By using the Service, you grant Volgrei a limited, non-exclusive license to store and process your content solely to provide the Service to you. We do not claim ownership of your content and will not use it for any purpose beyond operating and improving the Service.

8. AI Features

The Grei AI assistant is powered by third-party AI infrastructure. AI-generated outputs are provided for informational and productivity purposes only and do not constitute professional advice of any kind. We make no guarantees regarding the accuracy, completeness, or reliability of AI-generated content. You are solely responsible for how you use and act upon such outputs.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Volgrei shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount paid by you to Volgrei in the twelve months preceding the claim.

11. Termination

You may terminate your account at any time by deleting it within the Service. We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Italy. If you are a consumer resident in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date and notify you via email or in-app notification where changes are material. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.
